On March 9, 2021, Just Energy Group Inc. and certain subsidiaries (collectively, the "Debtors”) commenced a proceeding (the “Canadian Proceeding”) in the Ontario Superior Court of Justice (Commercial List) (the “Canadian Court”) under the Companies’ Creditors Arrangement Act (the “CCAA”) to, among other things, restructure the Debtors’ finances while continuing normal operations under the protections offered by the CCAA. The protections and relief granted by the Canadian Court were expressly extended to the partnerships listed in Schedule “A” to the initial order dated March 9, 2021 (as later amended and restated, the “Initial Order”). The Initial Order also appointed FTI Consulting Canada Inc. to serve as the Court-appointed Monitor (the “Monitor”) in the Canadian Proceeding and authorized Just Energy Group Inc. to apply for foreign recognition and approval of the Canadian Proceeding in the United States under chapter 15 of title 11 of the United States Bankruptcy Code.
On March 9, 2021, Just Energy Group Inc., as authorized foreign representative, filed a voluntary petition for each of the Debtors under chapter 15 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of Texas (the “Bankruptcy Court”). The chapter 15 cases are ancillary proceedings to the Canadian Proceeding. On April 2, 2021, the Bankruptcy Court granted the Final Recognition Order [Docket No. 82] which, among other things, recognized the Canadian Proceeding as a foreign main proceeding and gave full force and effect to the Initial Order and any extensions, amendments, restatements and/or supplements thereto. The cases are pending before the Honorable Marvin Isgur and are being jointly administered for procedural purposes under case number 21-30823.
On September 15, 2021, the Canadian Court granted the Claims Procedure Order and appointed Omni Agent Solutions as the Claims Agent for the claims process.
