On October 30, 2020, Rock International Investment Inc. (the “Debtor”) commenced a proceeding (the “BVI Proceeding”) under the laws of the British Virgin Islands High Court of Justice of the Eastern Caribbean Supreme Court (the “BVI Court”) seeking approval of a scheme of arrangement (the “Scheme”). The BVI Court approved Xing Guan as Foreign Representative (the “Foreign Representative”) in the BVI Proceeding.
On November 19, 2020, the Foreign Representative filed a voluntary petition for the Debtor under chapter 15 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of Texas (the “Bankruptcy Court”). The chapter 15 case is an ancillary proceeding to the BVI Proceeding, which seeks approval of the Scheme. The Debtor has asked the Bankruptcy Court to recognize the BVI Proceeding as the Debtor’s foreign main proceeding and enforce in the United States the relief granted in the BVI Proceeding, including the Scheme.
